3. Terms of Service
Eligibility and Account Registration
You must be at least 13 years old to use the Service. To access most features, you must create an account. You are responsible for safeguarding your account information, including your password, and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You agree to provide accurate and complete information when creating your account.
Service Tiers, Subscriptions, and Payments
Tessa Mae offers various service tiers, including a free tier with limited credits, one-time credit packages, a "Pro" subscription, and an "Artist" subscription. The specific features, limits, and pricing for each tier are detailed on our Shop page. By making a purchase or subscribing, you agree to these Terms and any specific terms associated with that tier.
- Credit Packs: You may purchase packs of credits for one-time payments for use in generating content. Unused credits are non-refundable.
- Pro & Artist Subscriptions: These are recurring monthly subscriptions that automatically renew unless canceled. You can manage your subscription through your account settings.
- Payments: All payments are processed through our third-party payment processor, Stripe, or via supported cryptocurrency networks. By providing a payment method, you authorize us (through our processor) to charge you for the selected service.
- Cryptocurrency Payments: If you choose to pay with cryptocurrency, you are solely responsible for ensuring the transaction is sent to the correct address and includes any required memo/note. Crypto transactions are irreversible. We are not responsible for any lost funds due to user error.
- Refunds: All payments are non-refundable except where required by applicable law.
User Conduct and Content Restrictions
You agree not to use the Service to create, upload, or share any content that is illegal, harmful, threatening, abusive, defamatory, obscene, infringing on third-party rights (including copyright, trademark, or privacy rights), or otherwise objectionable. We reserve the right to remove any content and suspend or terminate accounts that violate these rules.
Service Availability and Termination
We reserve the right to modify, suspend, or terminate the Service at any time, with or without cause or notice. We may also suspend or terminate your access to the Service at any time for any reason, including for a violation of these Terms. You may terminate your account at any time by contacting us. If you cancel a subscription, it will remain active until the end of the current billing cycle. Upon termination, your right to use the Service will immediately cease. See Section 5 for details on how termination affects royalty eligibility.
Account Suspension
We reserve the right to suspend any account for conduct that violates our Terms of Service or for any other reason at our sole discretion. A suspension will revoke your access to the Service, including the ability to log in, generate content, or submit new works. However, an account suspension will not affect any royalties you have already earned. Any accrued royalties will be paid out according to our standard payment schedule, provided you have supplied valid payout information.
4. Privacy Policy
Information We Collect
- Account Information: When you create an account, we collect your first name, last name, username, and email address.
- Profile Information: You may voluntarily provide a profile picture (photoURL).
- Payment Information: When you make a purchase, our payment processor (Stripe) collects your payment information. We do not store your full credit card details. For crypto payments, we only see publicly available transaction data.
- User-Generated Content & Inputs: We collect and store the content you generate and save. This includes lyrics, song titles, cover art descriptions, AI artist personas (backstory, age, gender, accent), chat messages, and other inputs you provide to the Service ("Inputs"). We also store the resulting generated content ("Outputs"), such as saved songs, albums, and their associated cover art.
- Submissions & Payout Data: When you submit a work for release, we collect your artist name and contact email. To receive royalties, you must provide payout information (e.g., bank account details), which is stored securely.
- Usage Data: We may automatically collect information about your interactions with the Service, such as IP address, browser type, and pages visited, to help us improve our offerings.
How We Use Your Information
- To provide, maintain, and improve the Service, including managing user accounts, subscriptions, and submissions.
- To process transactions and royalty payouts.
- To personalize your experience and communicate with you about your account and our services.
- To train our AI models: You acknowledge that we may use your Inputs and the Outputs generated by the Service to train and improve our generative AI models and algorithms. This is essential for enhancing the quality and creativity of Tessa Mae.
Data Storage and Security
Your data is stored using secure cloud services, primarily Firebase provided by Google. We implement industry-standard security measures to protect your information, but no method of transmission over the Internet is 100% secure. We cannot guarantee absolute security.
5. Intellectual Property & Royalty Agreement
Ownership of AI-Generated Content
You are responsible for the content you create. You must ensure that your Inputs (such as themes or descriptions) do not infringe on any third-party rights. While you are free to use the Outputs (lyrics, art) you generate for personal and commercial purposes, you acknowledge that similar or identical content may be generated for other users. Due to the nature of generative AI, we cannot guarantee the uniqueness of any Output.
To the extent permitted by law, by using the Service, you grant Tessa Mae a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the content you generate for the purposes of operating, improving, and promoting the Service, including for training our AI models.
Submissions, Distribution, and Royalties
When you submit a work (a song or an album) for release, you grant us a non-exclusive, worldwide, royalty-free license to distribute, display, perform, and promote the submitted content on our partner platforms (e.g., Spotify, Apple Music). We partner with a third-party distributor (e.g., DistroKid) for this purpose.
You are entitled to a 50% share of the net royalties we receive from the distribution of your submitted and approved music. "Net royalties" refers to the revenue we receive from the distributor after they have deducted their fees and any applicable taxes or charges. We make no guarantees about the amount of royalties, if any, you will earn.
Royalty Eligibility and Artist Plan Subscription
To be eligible to receive royalties for music released under a custom artist profile (a feature of the Artist Plan), you must maintain an active Artist Plan subscription.
If you cancel your Artist Plan subscription or if it lapses due to non-payment, you will forfeit any and all future royalties for all songs that were released using the features of that plan. Your music will remain on streaming platforms under our management, but you will no longer be eligible for royalty payments for that content. To continue receiving royalties for music released under your custom artist name, you must maintain an active Artist Plan subscription.
Content Review and Takedowns
We reserve the right to review all submissions. A submission may be rejected at our sole discretion for any reason, including but not limited to copyright concerns, quality standards, or violation of these Terms. Furthermore, we reserve the right, at our sole discretion, to issue a takedown request to our distributor for any song or album at any time, even after it has been approved and released.
6. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE AI-GENERATED CONTENT WILL BE ACCURATE, UNIQUE, OR FIT FOR ANY PARTICULAR PURPOSE.
TO THE FULLEST EXTENT PERMITTED BY LAW, TESSA MAE, ITS AFFILIATES, AND ITS PERSONNEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
7. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in Key West, Florida, except for claims for injunctive or equitable relief, which may be brought in any court of competent jurisdiction.
